ANNOUNCEMENT OF MERGER BY ABSORPTION

The members of the administrative bodies of the companies CAMBRILLONES JOVER, S.L.(absorbing company) and of the companies JOVER EXPORT IMPORT, S.L.U. and JOVER MECANIZADOS, S.L.U.(absorbed companies) (jointly referred to as the “Participating Companies”), formulate this Joint Merger Plan.

The respective administrative bodies of the Participating Companies propose the execution of the Merger for the purpose of simplifying and rationalizing the organizational, administrative, financial and corporate structure of the three companies, taking into account that all of them have been carrying out the same business activity (manufacture of shells) although segmented into different phases of the business cycle (production, workshop, manufacture of molds, and commercialization). This complexity of the corporate structure related to the same business makes it advisable that the activities carried out by the absorbed companies be carried out by a single company, i.e. the company CAMBRILLONES JOVER, S.L. (absorbing company), with the consequent simplification of the legal and operational structure of the business, reduction of costs, improvement of management with the corresponding reduction of the accounting, commercial, tax and, in short, administrative obligations to which the absorbed companies are subject. The operation will also simplify the succession and generational handover of the business.
